    Byron Loflin is the Global Head of Board Advisory at Nasdaq, where he leads the Nasdaq Governance Solutions Board Advisory Team in providing a strategic, collaborative, and technology-based approach to support boards' efforts in strengthening their effectiveness.

    Byron is the founder and former CEO of the Centre for Board Excellence (CBE), which was acquired by Nasdaq in 2019. His experience and expertise lie in the design and administration of evaluations, as well as advising boards and executive management teams on strategies for board effectiveness.

    Byron is a graduate of Harvard Business School's Owner/President Management Programme and obtained his B.A. from James Madison University. Byron is also a member of the Society for Corporate Governance, Institute of Directors (UK), and National Association of Corporate Directors.

    Phil Neiswender, Esq.

    Phil is the Head of Board Advisory in the Americas and Asia-Pacific regions at Nasdaq. In his role, Phil advises boards and executive management teams at public, private, and non-profit organizations. Phil leverages his experience to help organizations address board composition and effectiveness, strategic alignment with management, and other corporate governance and compliance matters.

    Phil was president, board member, and founding investor/advisor of the Centre for Board Excellence (CBE), which was acquired by Nasdaq in 2019. Prior to that, Phil held several senior leadership positions at public and private companies, including Chief Operating Officer, General Counsel, and Corporate Secretary roles. 

    Phil obtained his J.D. from the University of Virginia and his B.A. from the University of Washington. Phil is a member of the Washington State Bar.

     

    Kaley Childs Karaffa, Esq.

    Kaley is the Head of Board Advisory in the Americas region at Nasdaq. In her role, Kaley advises boards on corporate governance matters, including board effectiveness, CEO performance, strategy, ESG, compliance, and risk matters. Kaley works with public, private, and non-profit organisations in a wide range of industries globally. Board Advisory in the Americas region at Nasdaq.     Kaley served as Vice President of Client Services, Business Development & Legal at the Centre for Board Excellence (CBE), which was acquired by Nasdaq in 2019. Prior to that, Kaley started her legal career in private practice in New York before transitioning to several in-house roles, including General Counsel of ClaroLux.

    Kaley received her Juris Doctor from the Pace University School of Law and her B.A. in Political Science from Samford University. Kaley is admitted to practise law in the State of New York. In addition, Kaley serves on the Board of Directors of Horizon Education; as Board Chair of the Northside Charter High School in Brooklyn, NY; on the patient advisory board for a privately held pharmaceutical company; and on the Patient Safety Committee and Patient & Family Advisory Council of the Seattle Cancer Care Alliance.

    James is the Head of Board Advisory for the EMEA & India region. He is a governance and board effectiveness specialist, with two decades' experience working with some of the world's most dynamic organisations.Board Advisory for the EMEA & India region.     He is considered an international governance thought leader, being a regular contributor to prominent publications and professional events. James has been published by leading journals such as the Harvard Law School Forum on Corporate Governance and the Frankfurter Allgemeine Zeitung as well as other international governance bodies such as the IoD India, Chartered Governance Institute UK&I and the GCC Board Directors Institute.

    Based in London, James has experience of supporting clients across EMEA, India, North America and Asia-Pacific. He holds a Master's Degree (MSc) in Global Governance and Ethics from University College London (UCL) and is a graduate of the Sustainability Leadership Programme at Imperial College London Business School. James is a member of the Society for Corporate Governance.

    Stephen Perrone is Director of Board Advisory at Nasdaq. In his role, Stephen works with the Board Advisory leadership and operations teams to provide client-focused guidance, planning, design, and execution of customised and effective evaluations and compliance processes.

    Stephen was Director of Operations at the Centre for Board Excellence (CBE), which was acquired by Nasdaq in 2019. With years of experience in conducting and managing thousands of evaluation and compliance questionnaire projects, Stephen has helped clients of all types identify optimal approaches to improving their governance processes.

    Stephen received his Bachelor of Science in Business Administration from Guilford College. ​

    Charles Neidenbach

    Charles Neidenbach is a Director of Board Advisory at Nasdaq. In this role, Charles advises boards and management teams on emerging governance themes and conducts annual board evaluations. Charles brings a holistic approach to corporate governance through deep expertise in sustainability and ESG strategy.

    Before becoming part of the Board Advisory team, Charles served as a Lead ESG Advisor at Nasdaq, where he provided guidance to boards and management teams on ESG strategy, the execution of programmes, and reporting. Charles has occupied various internal sustainability positions, notably at Office Depot and UPS, and has offered advice to both private and public entities worldwide.Board Advisory team, Charles was a Lead ESG Advisor, also at Nasdaq, where he advised boards and management teams on ESG strategy, program implementation, and reporting. Charles has held several in-house sustainability roles, including at Office Depot and UPS, and has advised both private and public organizations globally.

    Charles received a Bachelor of Science degree in Biological Sciences from Clemson University and a Master of Science degree in Sustainability Studies from Lenoir-Rhyne University.
