Global Head of Board Advisory

Byron Loflin is the Global Head of Board Advisory at Nasdaq, where he leads the Nasdaq Governance Solutions Board Advisory Team in providing a strategic, collaborative, and technology-based approach to support boards’ efforts in strengthening their effectiveness.

Byron is the founder and former CEO of the Center for Board Excellence (CBE), which was acquired by Nasdaq in 2019. His experience and expertise are in the design and administration of evaluations, as well as advising boards and executive management teams on board effectiveness strategies.

Byron is a graduate of Harvard Business School’s Owner/President Management Program and obtained his B.A. from James Madison University. Byron is also a member of the Society for Corporate Governance, Institute of Directors (UK), and National Association of Corporate Directors.

Prior to that, Kaley started her legal career in private practice in New York before transitioning to several in-house roles, including General Counsel of ClaroLux.

Kaley received her J.D. from the Pace University School of Law and her B.A. in Political Science from Samford University. Kaley is admitted to practice law in the State of New York. In addition, Kaley serves on the Board of Directors of Horizon Education; as Board Chair of the Northside Charter High School in Brooklyn, NY; on the patient advisory board for a privately held pharmaceutical company; and on the Patient Safety Committee and Patient & Family Advisory Council of the Seattle Cancer Care Alliance.

James has been published by leading journals such as the Harvard Law School Forum on Corporate Governance and the Frankfurter Allgemeine Zeitung as well as other international governance bodies such as the IoD India, Chartered Governance Institute UK&I and the GCC Board Directors Institute.

Based in London, James has experience of supporting clients across EMEA, India, North America and Asia-Pacific. He holds a Master’s Degree (MSc) in Global Governance and Ethics from University College London (UCL) and is a graduate of the Sustainability Leadership Programme at Imperial College London Business School. James is a member of the Society for Corporate Governance.

Prior to joining the Board Advisory team, Charles was a Lead ESG Advisor, also at Nasdaq, where he advised boards and management teams on ESG strategy, program implementation, and reporting. Charles has held several in-house sustainability roles, including at Office Depot and UPS, and has advised both private and public organizations globally.

Charles received a Bachelor of Science degree in Biological Sciences from Clemson University and a Master of Science degree in Sustainability Studies from Lenoir-Rhyne University.
