Lifeward (LFWD) has entered into a definitive agreement for the issuance and sale of an aggregate of 1,818,183 of the Company’s ordinary shares at a purchase price of $2.75 per share in a registered direct offering priced at-the-market under the rules of the Nasdaq Stock Market. In addition, in a concurrent private placement, the Company will issue unregistered short-term warrants to purchase up to 1,818,183 of the Company’s ordinary shares. The warrants will have a term of three years, will be exercisable immediately following the issuance date and have an exercise price of $2.75 per share. The closing of the offering is expected to occur on or about January 8, 2025, subject to the satisfaction of customary closing conditions. H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering. The gross proceeds to the Company from the offering are expected to be approximately $5M, before deducting the placement agent’s fees and other offering expenses payable by the Company. The Company intends to use the net proceeds from the offering for continuing commercial efforts, working capital, and general corporate purposes.
