Taboola To Acquire Dianomi For Up To £27 Mln

(RTTNews) - Taboola.com Ltd. (TBLA), a digital advertising platform, said Friday it has agreed to acquire advertising technology company Dianomi for up to £27 million.

Under the terms of the acquisition, Dianomi shareholders will receive 64 pence in cash, representing a 68% premium to Dianomi's closing share price of 38.0 pence on the last practicable date. The deal also includes a contingent consideration unit that could deliver up to 24 pence in cash for each Dianomi share.

The maximum consideration, assuming the contingent consideration units deliver their full value, would value Dianomi at up to approximately £27 million and provide up to 88 pence in cash per share, representing a 132% premium to the closing price of 38.0 pence on the last practicable date.

Taboola said the acquisition will strengthen its ability to provide performance advertisers with a specialized premium advertising network focused on the finance sector, powered by its Realize performance advertising platform.

The acquisition, subject to regulatory approvals and Dianomi shareholder approval, is expected to close by the end of 2026 through a court-sanctioned scheme of arrangement.

Dianomi's board unanimously recommended the acquisition, while Taboola and Bidco have secured irrevocable undertakings covering 22.61 million shares, or approximately 75.3% of Dianomi's shares in issue.

Taboola shares were up about 1% in pre-market trading after closing at $3.68 on Thursday.
