Glucotrack Prices $3.1M Public Offering

(RTTNews) - Glucotrack, Inc. (GCTK) announced the pricing of a "best efforts" public offering of 169,388 shares of common stock at $2.04 per share and pre-funded warrants to purchase up to 1,350,220 shares at $2.039 per warrant.

The company expects to receive aggregate gross proceeds of approximately $3.1 million before deducting placement agent fees and offering expenses.

The offering was priced at-the-market under Nasdaq rules and is expected to close on or about September 25, 2026, subject to customary closing conditions.

Dawson James Securities is acting as the sole placement agent for the offering.

The public offering is being conducted under Glucotrack's effective Form S-3 registration statement filed with the U.S. Securities and Exchange Commission.

Glucotrack operates Lokahi Therapeutics, a capital-efficient biopharmaceutical platform focused on identifying, evaluating, acquiring and advancing overlooked therapeutic assets.

Through its Glucotrack Technologies subsidiary, the company is also developing technologies for people with diabetes, including a long-term implantable continuous blood glucose monitoring system.

The Glucotrack continuous blood glucose monitoring system is an investigational device and is limited by federal law to investigational use.

Upcoming Milestone

The key near-term milestone is the expected closing of the approximately $3.1 million public offering on or about September 25, 2026, subject to customary closing conditions.

GCTK has traded between $1.99 and $136.29 over the past year. The stock closed Wednesday's trading at $2.03, down 8.56%. In pre-market trading the stock is at $2.24, up 9.36%.
