CollPlant Shares Fall 6% After 1-For-10 Reverse Split; Completes LightSolver Acquisition

(RTTNews) - CollPlant Biotechnologies Ltd. (CLGN), a technology company operating across regenerative medicine and high-performance computing, saw its shares decline about 6% on Friday after its 1-for-10 reverse share split became effective, while the company also completed its acquisition of LightSolver and appointed its founder and CEO Dr. Ruti Ben Shlomi to its Board of Directors.

The reverse stock split became effective at the opening of the Nasdaq Capital Market on September 4, 2026.

Under the transaction, every 10 ordinary shares outstanding were consolidated into one ordinary share, with CLGN continuing to trade under its existing ticker symbol.

CollPlant said the reverse split was implemented as part of its strategic plan to regain compliance with Nasdaq's minimum bid price requirement for continued listing.

The company had received shareholder approval for the action at its Extraordinary General Meeting on August 18, 2026.

The reverse split also resulted in proportional adjustments to the exercise prices and share amounts underlying outstanding warrants and options.

Fractional shares resulting from the split will be rounded to the nearest whole ordinary share.

Separately, CollPlant completed its previously announced acquisition of Israeli deep-tech company LightSolver, officially entering the high-performance computing and photonics sectors.

Through the acquisition, CollPlant added LightSolver's proprietary Laser Processing Unit (LPU), an energy-efficient, pure photonic computing platform that uses coupled lasers to perform computation.

The LPU is designed to accelerate computationally intensive workloads, including scientific and engineering simulations, large-scale linear systems and optimization, with potential applications across aerospace, defense, energy, financial services and Physical AI.

The acquisition was completed using an equity-centric consideration structure that included upfront ordinary shares, pre-funded warrants and a $5 million investment in LightSolver.

Additional milestone-based warrants may become exercisable upon LightSolver achieving specified technological and commercial objectives.

Following the closing, CollPlant appointed Dr. Ruti Ben Shlomi, LightSolver's CEO and Co-Founder, to its Board of Directors, effective immediately.

Dr. Ben Shlomi brings more than 15 years of experience spanning quantum, atomic and molecular physics, photonic computing and technology leadership.

She co-founded LightSolver in 2020 following research at the Weizmann Institute of Science and previously served as a process engineer at Intel.

CollPlant said the addition of LightSolver is intended to accelerate commercialization of the LPU platform and expand strategic partnerships while the company continues its regenerative medicine operations.

CLGN shares have traded between $0.31 and $31.8 over the last year.

On Thursday, CLGN closed at $0.34, down 0.61%. In the premarket trading, the stock is trading down 5.63% at $3.22.

In healthcare, CollPlant develops recombinant human collagen-based technologies for 3D bioprinting of tissues and organs, tissue repair and medical aesthetics.
