Step 1: Select Buyers
NPM sends a list of potential Buyers to the Seller for the Company/Seller to consider along with their own Buyer(s) before selecting which Buyers can review disclosures.
Step 2: Review & Upload Disclosures
Company disclosure materials are uploaded into the NPM data room. NPM will offer to host meetings with interested buyers.
Step 3: Bidding Period
Once the clearing price is calculated, buyers bid for a period of ten days before offer documents are prepared and sent to the Company/Seller.
Step 4: Settlement & Payment
NPM will review documents and provide tracking spreadsheets with sell orders. NPM sends the executed documents so the Company can prepare tax withholdings and proceeds are remitted to Sellers.
