Dover Corporation (NYSE:DOV) insiders sold US$9.6m worth of stock, possibly signalling a downtrend

Many Dover Corporation (NYSE:DOV) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

Dover Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Independent Director, Kristiane Graham, sold US$4.4m worth of shares at a price of US$147 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$158. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 6.9% of Kristiane Graham's holding.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Dover insiders own 0.5% of the company, currently worth about US$121m based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Do The Dover Insider Transactions Indicate?

The fact that there have been no Dover insider transactions recently certainly doesn't bother us. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Dover insiders selling. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. While conducting our analysis, we found that Dover has 1 warning sign and it would be unwise to ignore this.

For the purposes of this article, insiders are those individuals who report their transactions to the relevant regulatory body. We currently account for open market transactions and private dispositions, but not derivative transactions.
