Resolutions from OMX ABs AGM The OMX Annual General Meeting (AGM) convened earlier today in Stockholm and voted in favor of all resolutions proposed at the meeting, including: The AGM approved the distribution of a dividend of SEK 6.50 to shareholders, comprising of a regular dividend of SEK 3.00 per share and an extra dividend of SEK 3.50 per share. The record date was determined as April 11, 2006. The dividend is scheduled to be distributed on April 18, 2006. The AGM discharged the members of the Board and the President from liability for the fiscal year 2005. The ordinary Board Members Adine Grate Axén, Urban Bäckström, Bengt Halse, Birgitta Klasén, Tarmo Korpela, Hans Munk Nielsen, Markku Pohjola and Olof Stenhammar were re-elected. Olof Stenhammar was elected as Chairman of the Board. The meeting approved the 2006 compensation to the Board totaling SEK 2,500,000, of which SEK 750,000 is paid to the Chairman, and SEK 250,000 is paid to each of the other Board Members. The compensation for work in the committees of the Board was approved at SEK 400,000, which is to be allocated according to a decision of the Board. The meeting approved the Boards proposals regarding changes to the Articles of Association required by the new Swedish Companies Act, which came into force on January 1, 2006. In addition, it was decided to approve the principles for remuneration etcetera, the Share Match Program 2006 for key personnel, and the principles for election of the Election Committee. At the statutory meeting of the Board held in conjunction with the Annual General Meeting, Adine Grate Axén (Chairman), Urban Bäckström and Hans Munk Nielsen were elected to the Audit Committee, and Olof Stenhammar (Chairman), Adine Grate Axén and Bengt Halse to the Compensation Committee.
