Suffolk Bancorp (the “Company”) was incorporated in 1985 as a bank holding company. The Company currently owns all of the outstanding capital stock of the Suffolk County National Bank of Riverhead (the “Bank”). The Bank was organized under the national banking laws of the United States in 1890. The Bank is a member of the Federal Reserve System and its deposits are insured by the Federal Deposit Insurance Corporation (the “FDIC”) to the extent provided by law. In 1994, the Company acquired all the outstanding capital stock of Hamptons Bancshares, Inc. and merged it into a subsidiary. The income of the Company is primarily derived through the operations of the Bank and its subsidiaries, consisting of the real estate investment trust (the “REIT”) Suffolk Greenway, Inc., an insurance agency and two corporations used to acquire foreclosed real estate.
