Sussex Bancorp is a bank holding company incorporated under the laws of the State of New Jersey in January 1996 and the parent company of Sussex Bank (the "Bank"). Pursuant to the Bank Holding Company Act of 1956, as amended (the "BHC Act") and the New Jersey Banking Act of 1948, as amended (the "Banking Act"), and pursuant to approval of the Board of Directors of the Bank and stockholders of the Bank, Sussex Bancorp acquired the Bank and became its holding company on November 20, 1996. The only significant asset of Sussex Bancorp is its investment in the Bank. At December 31, 2014, the Company had consolidated total assets of $595.9 million, gross loans of $472.0 million, deposits of $458.3 million and stockholders' equity of $51.2 million.
