American Capital Senior Floating, Ltd. (which is referred to as "ACSF", "we", "us" and "our") was organized in February 2013 as a Maryland corporation and commenced operations on October 15, 2013. We are structured as an externally managed, non-diversified closed-end investment management company that has elected to be regulated as a business development company ("BDC") under the Investment Company Act of 1940, as amended (the "1940 Act"). For tax purposes, we have elected to be taxed as a regulated investment company ("RIC"), as defined in Subchapter M of the Internal Revenue Code of 1986, as amended (the "Code"). On November 14, 2013, we formed a wholly-owned consolidated special purpose financing vehicle, ACSF Funding I, LLC ("ACSF Funding"), a Delaware limited liability company. In January 2014, we completed an initial public offering ("IPO") of 10.0 million shares of common stock at the public offering price of $15.00 per share for gross proceeds of $150.0 million.  ...
