Index Shares are now available on a number of sector indexes – each designed
to provide a single value for the aggregate performance of a number of companies
representing a group of related industries or an industry sector. Through Index Shares,
you can buy or sell all of the stocks of an industry sector index in a single
transaction. Holding Company Depositary Receipts (HOLDRS) are Structured
Products that are generally more focused in a particular industry and contain
fewer companies (twenty to thirty) than Select Sector and IShares. The following

Although Select Sector SPDR Funds are designed to provide investment results
that generally correspond to the price and yield performance of their related
Select Sector Indexes, the Trust may not be able to exactly replicate the
performance of the Indexes because of Trust expenses and other factors.
Over time, the stock holdings of each Select Sector SPDR Fund may be rebalanced
to reflect changes in the composition of its related index. A Select Sector SPDR
Fund would incur transaction costs and other expenses as a result of
rebalancing. Furthermore, a Select Sector SPDR Fund would realize capital gains
or losses from the sale of securities in a rebalancing. Net capital gains, if
any, are distributed to shareholders as capital gains distributions at least
annually.
From a tax standpoint, you should be aware that the Trust is structured as a
