USA Mobility Inc. ( USMO ) delayed its fourth-quarter and 2012 financial reports to address a material weakness in its process for recognizing software sales.

The wireless communications solutions provider's shares were down 5% at $12.10 in recent after-hours trading.

The operator of one-way and two-way paging networks also said that following an internal review it determined that the material weakness didn't impact underlying revenue transactions or receipt of payments for the transactions in the review.

The Virginia company, which also provides mobile voice and data services through Sprint Nextel Corp. ( S ) and Deutsche Telekom AG's (DTEGY, DTE.XE) T-Mobile USA unit, said its annual audit and filing of its 2012 financial report with the Securities and Exchange Commission was delayed so the internal review could be finalized.

USA Mobility said it would announce the date of its fourth-quarter earnings report "as soon as practical" but didn't provide further details.
