Madalena Ventures Mails Offer to Online Energy Securityholders

Madalena Ventures Inc. (MVN.V) and Online Energy Inc. (ONL.V) jointly announced that Madalena has mailed its formal offer documents to holders of outstanding securities of Online in connection with an offer to acquire all of the outstanding common shares of Online for $0.35 cash per share.

The offer will remain open for acceptance until 10:00 a.m. (Calgary time) on November 1, 2012, unless withdrawn or extended.

The directors of Online support the offer and recommend to shareholders that the offer be accepted.

MVN shares were off half-a-cent to $0.215.

ONL shares were unchanged at $0.34.
