Dassault Systemes to Make $750 Million Tender Offer for Accelrys

PARIS--France's largest software company, Dassault Systemes (DSY.FR), said Thursday that it will make an all-cash tender offer for all of the outstanding shares of U.S.-based Accelrys Inc. ( ACCL ), a company that provides software for chemistry, biology and materials science research.

Dassault Systemes will offer to pay $12.50 per Accelrys share, an amount that would value the whole company at $750 million. Accelrys shares closed at $9.72 late Wednesday.

All board members of Accelrys have approved the transaction, which is expected by the companies to be closed during the second quarter of this year.

Based in San Diego, Accelrys provides software for industrial development to more than 2,000 companies, including world leaders in biotech, petrochemicals and pharmaceutical industries such as Sanofi, Pfizer, Royal Dutch Shell, Unilever and L'Oreal.
